Cap table cleanup via SeedBlink Nominee

"SeedBlink's nominee infrastructure allowed us to maintain a clean cap table and simplify investor management. By aggregating multiple angel investors into a single entity, and essentially into a single line in the cap table, we are streamlining shareholder approvals and communication."

Context and issue: The need for streamlined investor relations

PROCESIO, an innovative automation platform, is on a mission to revolutionize how businesses optimize their processes. They aim to provide unparalleled flexibility and scalability and empower business roles to handle automation projects.

To fuel this bold vision, PROCESIO needed growth capital. With crowdfunding rounds completed through SeedBlink Ventures, and tens of angel investors participating via SAFE instruments, the complexity of managing multiple shareholders became a challenge.

The intricacies of shareholder communication, decision-making, and administrative tasks began consuming valuable resources and time. PROCESIO required an efficient approach to managing investor relations.

Solution: SeedBlink’s Nominee infrastructure for cap table cleanup

To address these challenges, PROCESIO turned to SeedBlink once again - this time to leverage SeedBlink’s Nominee infrastructure.

PROCESIO sought to consolidate multiple angel investors holding SAFE instruments into a single vehicle to streamline its cap table and simplify shareholder management. This centralized structure was necessary to reduce administrative overhead and ensure faster, more consistent communication with investors. In addition, a clean and simplified cap table would enhance the company's attractiveness to future investors and position it for smoother fundraising rounds.

The solution involved:

  • Aggregation of angel investors: All angel investors who participated via SAFE instruments were consolidated into a single nominee structure, effectively represented as one line in the cap table post-conversion to equity.
  • Streamlined administration: SeedBlink’s infrastructure simplified tasks such as signature collection, document management, and shareholder communications.
  • Enhanced governance: The nominee structure centralizes voting rights and approvals, improving the efficiency of decision-making processes.
“At PROCESIO, we are committed to changing the way organizations approach automation, making it more flexible and accessible to business roles. To further advance this vision, we needed to secure funding and efficiently manage investor relations. Given the positive experience we had with our crowdfunding rounds, we turned to SeedBlink to leverage their nominee infrastructure and consolidate our angel investors into one line in the cap table.
With their investment vehicle and robust infrastructure, SeedBlink provided us with the optimal solution, allowing for a more efficient governance process. We highly value SeedBlink's tools and services that support startups at every stage of growth.”
